SOFTWARE LICENSE AGREEMENT FOR "INDIVIDUAL NON-COMMERCIAL USE"

CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE USING THIS PRODUCT. IT CONTAINS SOFTWARE, THE USE OF WHICH IS LICENSED BY SILDEV ("SILDEV") TO YOU, THE CUSTOMER, FOR YOUR USE ONLY AS SET FORTH BELOW. DO NOT PURCHASE NOR INSTALL SILDEV SOFTWARE UNTIL YOU HAVE READ AND ACCEPTED ALL TERMS OF THE LICENSE AND WISH TO BECOME A LICENSEE OF THE SILDEV SOFTWARE. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE. USING ANY PART OF THE SOFTWARE INDICATES THAT YOU ACCEPT THESE TERMS. YOUR PURCHASE AND/OR INSTALLATION OF THE SILDEV SOFTWARE IS DEEMED TO BE YOUR ACCEPTANCE OF THE FOLLOWING TERMS. ONCE YOU HAVE MADE PAYMENT FOR THE SILDEV SOFTWARE, YOU ARE BOUND BY THESE TERMS:

LICENSE GRANT:
Sildev grants you a limited, nonexclusive license to install and use the Sildev software and accompanying documentation as provided herein subject to the terms and restrictions set forth in this License Agreement. The licensed Sildev software is personal to the Licensee. Licensee is not permitted to use the Software in any manner not expressly authorized by this License. Licensee acknowledges and agrees that ownership of the Software and all subsequent copies thereof regardless of the form or media are held by Sildev or its suppliers, and the Licensee shall have no right, title, or interest therein, except as expressly set forth in this agreement.

DEFINITIONS:

• Software: Accompanying software program(s) and components delivered with download packages from Sildev website.
• Licensee: The individual person licensed under this agreement.
• Non-Commercial Use: The use of Software, not for financial return. Licensee may use the product on any number of non-commercial websites free of charge. A non-commercial website means any site that is owned or maintained by a non-profit making person or organisation, like personal, hobby, educational sites, etc.

LICENSE:
The Licensee shall have the right to the non-commercial Use of the Sildev software.
The Licensee shall have the right to personal use of the Sildev software.
The Licensee shall not have the right to distribute the Sildev software.
The license is not transferable to a Third Party.


TAXES, DUTIES, CUSTOMS:
Absent appropriate exemption certificate(s), Licensee shall pay all taxes, duties, or customs, except for taxes based on Sildev net income.

USE OF NAME AND TRADEMARKS:
Licensee shall not use the name, trade names or trademarks of Sildev or any of its Affiliates in any advertising, promotional literature or any other material, whether in written, electronic, or other form, distributed to any Third Party, except in the form provided by Sildev, and then solely for purposes of identifying Sildev software.

NO REVERSE ENGINEERING:
Modification, reverse engineering, reverse compiling, or disassembly of the Software is expressly prohibited.

EXPORT RESTRICTIONS:
You agree that you will not export or re-export the Application or accompanying documentation (or any copies thereof) or any products utilizing the Software or such documentation in violation of any applicable laws or regulations of the country in which you obtained them.

TERM AND TERMINATION:
This License Agreement is effective until terminated. Sildev may terminate this license grant, by written notice to Licensee if Licensee breaches any material term of this license. You may terminate it at any time by destroying the Software and documentation together with all copies and merged portions in any form. It will also terminate immediately if you fail to comply with any term or condition of this License Agreement. Upon such termination you agree to destroy the Software and documentation, together with all copies.

LIMITED WARRANTY:
Sildev makes no warranty or representation that the operation of the software products will be uninterrupted or error free, or that all defects in the software products will be corrected. Any third party products, including software, included with Sildev products are not covered by the Sildev warranty and Sildev makes no representations or warranties on behalf of such third parties. Any warranty on such products is from the supplier or licensor of the product.

LIMITATION OF LIABILITY:
NEITHER SILDEV NOR ITS SUPPLIERS SHALL BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, LOSS OF INFORMATION OR DATA, OR OTHER FINANCIAL LOSS ARISING OUT OF OR IN CONNECTION WITH THE SALE OR USE OF SILDEV SOFTWARE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER THEORY, EVEN IF SILDEV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
